Tax in Practice Launceston and Networking Event

Private companies 2024

Private company tax administration in the small and medium enterprise (SME) market has many complexities.  Since late 2023, the ATO has increased audits and reactivated tax debt collection for on-hold debts prompting criticism from the Inspector General of Taxation and Tax Ombudsman.  This practical workshop will address common private company tax administration issues and transactions confronting legal and tax advisers. The workshop will include:

Part 1: Private company franking issues

  • Franking distributions overview
  • 45-day holding period rules
  • Debt-equity rules
  • Franking integrity rules.

Part 2: Corporate beneficiary issues

  • Division 7A Private Company Constructive Dividends
  • 100A Trust Reimbursement Agreements.

Part 3: Director and public officer’s tax risks

  • Insolvent Trading and ASIC Disqualification
  • Tax liabilities and Director Penalty Notices (DPNs)
  • Liability for Tax Crimes
  • Corporate Governance Tax Risk Management Protocols.
